Agreement to these terms.
These Terms of Service ("Terms") are a binding agreement between you and Reliable Telephone and Data, Inc. ("RTD," "we," "us"), a California corporation operating as Reliable Telephone & Data. They govern your access to and use of our website at latelephone.com and any subdomains we operate, our chat assistant, our voice assistant (the "Talk to us" button), and any other tools we make available through the site (collectively, the "Site").
By accessing or using the Site — including by viewing pages, submitting our contact form, chatting with our AI assistant, or starting a call with our voice agent — you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
Who can use the site.
The Site is intended for business users in the United States. By using it, you represent that:
- You are at least 18 years old and able to enter into a binding contract.
- You are accessing the Site on your own behalf or with authority to act for the company you represent.
- Your use does not violate any law that applies to you.
The Site is not directed to children under 13. See our Privacy Policy for more on this.
The website & AI assistants.
The Site provides general information about RTD's products and services, ways to contact us, and two AI-powered assistants intended to help you learn about what we do and get pointed to the right next step:
- A text chat assistant powered by Anthropic, Inc.'s Claude large language model.
- A voice assistant ("Talk to us") operated by ElevenLabs Inc. that you can converse with in real time through your browser.
Both assistants identify themselves as AI when you start interacting with them. The voice assistant also announces that the call is recorded — by continuing the call after that notice, you consent to being recorded as described in our Privacy Policy.
The Site is provided free of charge for informational and pre-sales purposes. We may modify, suspend, or discontinue any part of the Site at any time, with or without notice.
AI output is not binding.
Read this carefully. The chat and voice assistants are conversational AI tools that generate responses by pattern-matching against language. They are useful for general questions but they are not infallible — they can be wrong, out of date, or imprecise.
You agree that:
- Statements made by an AI assistant are informational, not contractual. Anything an AI assistant says about pricing, timelines, capabilities, availability, included features, compliance status, technical specifications, or any other commercial or technical detail is provided for general guidance only. It is not a quote, not an offer, and does not create a binding commitment by RTD.
- Only a written, signed agreement between you and a human at RTD creates a binding commitment. Pricing, scope, timing, deliverables, warranties, and any other commercial terms become binding only when reduced to writing and executed by an authorized RTD representative (signed proposal, signed order form, signed master agreement, or similar).
- AI output may contain errors. AI assistants can produce inaccurate, incomplete, or misleading information, including invented "facts" (sometimes called hallucinations). You are responsible for verifying any information that matters to your decision-making before acting on it.
- Do not rely on the AI assistants for emergency, legal, financial, medical, or regulated-industry advice. They are not designed for those purposes.
If anything an AI assistant told you contradicts what an RTD human says in writing, the writing controls.
Acceptable use.
You agree not to use the Site to:
- Violate any law, infringe anyone's rights, or harm any person.
- Send unsolicited commercial messages, spam, or content you don't have the right to send.
- Submit false, misleading, or impersonating information through the contact form, chat, or voice assistant.
- Reverse engineer, decompile, disassemble, scrape, mirror, frame, or attempt to derive the source code of the Site, the AI assistants, or any underlying service except to the extent expressly permitted by applicable law.
- Probe, scan, or test the vulnerability of the Site or interfere with its operation (including by injecting malicious code, abusing rate limits, or attempting unauthorized access).
- Use the Site or its output to train, fine-tune, evaluate, or benchmark a machine-learning model, or to build a competing product or service.
- Use any automated system (bot, crawler, scraper, harvester) to access the Site, other than well-behaved search-engine indexing.
- Misrepresent the AI assistants' output as human-authored when forwarding or quoting it, or as a binding statement by RTD.
- Use the voice assistant to record, transcribe, or otherwise capture the conversation through means outside the assistant itself without disclosing that capture to us in advance.
We reserve the right (but are not obligated) to monitor use of the Site, investigate suspected violations, and take action — including blocking access — without notice.
Information you send us.
When you submit information through the contact form, chat, or voice assistant, or when you email or call us, you represent that you have the right to share what you're sharing. We will handle that information as described in our Privacy Policy.
By submitting information, you grant RTD a worldwide, royalty-free, non-exclusive license to use, store, reproduce, and act on that information for the purposes of:
- Responding to your inquiry and providing follow-up;
- Designing, scoping, and (if you become a customer) delivering services you've requested;
- Operating and improving the Site and the AI assistants, including reviewing transcripts for quality and refining how the assistants respond; and
- Complying with our legal obligations.
Please do not submit protected health information, payment card numbers, government identifiers, secrets, passwords, or any other sensitive personal information through the chat or voice assistants. If you become a customer and need to share that kind of information, we will give you a secure channel.
Intellectual property.
The Site — including its content, design, layout, code, graphics, photographs, audio, the "Reliable Telephone & Data" name and wordmark, the cloud-and-handset logo mark, and the underlying selection and arrangement of content — is owned by RTD or our licensors and is protected by U.S. and international intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own internal business purposes, subject to these Terms. All other rights are reserved. No license is granted to use our trademarks, logos, or branding without our prior written consent.
Third-party trademarks referenced on the Site (such as Intermedia, Anthropic, Claude, ElevenLabs, Vercel, Resend, Polycom, Yealink, and others) belong to their respective owners. Their appearance on the Site does not imply endorsement.
Third-party services.
The Site is hosted by Vercel, Inc. The chat assistant is powered by Anthropic, Inc. The voice assistant is operated by ElevenLabs Inc. Post-call summary emails are delivered by Resend, Inc. Web fonts are served by Google LLC. Each of these providers operates under its own terms and privacy policy. Your use of those services through the Site is also subject to their terms.
RTD is an Intermedia partner. If you purchase a service we resell (for example, Intermedia Unite cloud voice), that service is provided by the underlying carrier or platform and is governed by their terms and your service agreement with them or with RTD as their agent.
We are not responsible for the availability, content, accuracy, or practices of any third-party service. Links to third-party sites are provided for convenience and do not imply endorsement.
RTD service agreements are separate.
If you become an RTD customer, the specific products and services you buy are governed by one or more separate written agreements — typically a proposal or order form, master service agreement, statement of work, and/or the terms of the underlying carrier or platform we're reselling. Those documents control the commercial terms of your service (price, scope, term, SLA, warranties, etc.).
These Terms apply to your use of the Site only. To the extent there is a conflict between these Terms and a signed RTD service agreement with respect to a specific service, the signed service agreement controls.
Voice service: address & 911 emergency calling.
Read this carefully if you use cloud voice service through RTD. Because the service runs over the internet, 911 emergency calls are routed to local responders based on the address you have registered with us — not your actual physical location at the time of the call. Keeping that address current is your responsibility.
Cloud voice is fundamentally different from a traditional landline. On a landline, the physical wire ties the call to a known street address, and 911 dispatchers see that address automatically. On cloud voice, there is no fixed wire — calls travel over the internet from wherever the phone or app happens to be. Emergency call routing therefore depends on the service address you register with us at setup.
If you purchase voice service through RTD, you agree that:
- You will keep your registered service address current. If your business moves, opens an additional location, or relocates a desk phone, softphone, mobile app, or extension to a new address — even temporarily — you must promptly notify RTD so the 911 registration can be updated with the underlying carrier. This includes taking a desk phone home, on the road, to a remote job site, or to a co-working space.
- Mobile and desktop calling apps can be used from anywhere with internet. This is one of the biggest benefits of cloud voice, but it also means a 911 call placed from a softphone may not reach the correct emergency dispatch center if the registered address doesn't match where you actually are when the call is placed.
- 911 routing follows the registered address — no exceptions. If you have not informed us of a move or temporary location change, emergency dispatch will reflect the address on file, which may be incorrect or out of date. Neither RTD nor our underlying carrier is responsible for an emergency call that does not reach the correct responder because the registered address was not current.
- Power and internet are required. Cloud phones do not function during a local power outage (unless the device has battery backup) or during an internet outage. We recommend keeping a mobile phone with traditional cellular service available as an emergency backup at every location where cloud voice is used.
- How to update your address. Email Contact@LAtelephone.com or call (818) 455-8300 as soon as a move or new location is planned. Allow reasonable lead time for us to register the new address with the underlying carrier before the relocation takes effect.
By using cloud voice service purchased through RTD, you acknowledge these limitations and accept responsibility for keeping your registered service location current. These obligations apply in addition to anything in your signed service agreement, and they survive termination of these Terms for as long as you continue to use the voice service.
Disclaimers.
The site and all content, assistants, output, and information on it are provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, RTD disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting the above, RTD does not warrant that:
- The Site or any assistant will be uninterrupted, error-free, secure, or free of harmful components;
- The output of any AI assistant will be accurate, complete, current, or appropriate for any particular purpose;
- Any defect in the Site will be corrected; or
- The Site is suitable for compliance with any specific law or regulation applicable to your business.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply to the extent allowed.
Limitation of liability.
The following limits apply to the maximum extent permitted by law.
In no event will RTD or its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunity, goodwill, or any other intangible loss, arising out of or in connection with your use of (or inability to use) the Site or any AI assistant — whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether RTD has been advised of the possibility of such damages.
RTD's total aggregate liability arising out of or related to your use of the Site and the AI assistants will not exceed one hundred U.S. dollars (US $100.00), or the amount you paid to RTD in the twelve (12) months before the event giving rise to the claim, whichever is greater. This cap applies to all claims in the aggregate and is not per-incident.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the exclusions and limits above apply to the extent allowed.
Indemnification.
You will defend, indemnify, and hold harmless RTD and its officers, directors, employees, agents, affiliates, and licensors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or AI assistants in violation of these Terms; (b) your violation of any law or third-party right; (c) any information you submitted that you did not have the right to submit; or (d) your misrepresentation of an AI assistant's output as a binding RTD commitment.
RTD reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
Termination.
We may suspend or terminate your access to the Site or any AI assistant at any time, with or without notice, for any reason — including suspected violation of these Terms or to protect the Site, our service, or others. You may stop using the Site at any time.
Provisions that by their nature should survive termination — including §06 (license to submissions), §07 (intellectual property), §10 (voice service & 911), §11 (disclaimers), §12 (limitation of liability), §13 (indemnification), §15 (governing law & disputes), and §17 (miscellaneous) — will survive.
Governing law & disputes.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Federal law applies where preempted.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at Contact@LAtelephone.com. We will try to resolve the dispute within thirty (30) days of receiving notice.
Venue. If informal resolution does not work, you and RTD agree that any judicial action arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of those courts and waive any objection to venue there.
Time limit. Any claim arising out of or related to these Terms or the Site must be brought within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law.
If you are a customer with a signed RTD service agreement, the dispute-resolution provisions of that agreement (which may include arbitration) control over this section for disputes arising under the service agreement.
Changes to these terms.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be reflected here and, where appropriate, communicated to active customers directly. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you don't agree to a change, stop using the Site.
Miscellaneous.
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and RTD regarding the Site, and supersede any prior agreement on that subject. Signed RTD service agreements are not superseded and control your service relationship with us.
Severability. If a court finds any provision of these Terms unenforceable, the rest will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. RTD may assign them in connection with a merger, acquisition, financing, or sale of assets.
No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RTD.
Force majeure. RTD is not liable for any delay or failure to perform caused by events beyond our reasonable control (including network outages, third-party service failures, natural disasters, acts of government, or labor disputes).
Notices. Notices to RTD must be sent in writing to the address in §18 below. We may give notice to you by posting on the Site or by emailing the address you provided to us.
Headings. Section headings are for convenience only and do not affect interpretation.
